Bangkok Dusit Medical Services Public Company Limited was established on 30th October 1969 under the name "Bangkok Dusit Medical Services Company Limited" with initial registered capital of Baht 10 million. On 26th February 1972, Bangkok Hospital commenced operations in providing medical services. Through business expansion, the Company was listed on the Stock Exchange of Thailand on 2nd October 1991 and registered its conversion to public company limited in 1994. As of October 2013 has a registered capital of Baht 1,758.22 million, with paid-up capital of Baht 1,589.20 million.

- BDMS has been ranked the No. 1 global sustainability leader in 2023 in Health Care Providers & Services sector, being selected as a member of "The Dow Jones Sustainability Indices" (DJSI) in DJSI World for the first year and in DJSI Emerging Markets for 3 consecutive years with the highest score in the social dimension of healthcare Providers & Services sector from the assessment of S&P Global. DJSI is the sustainability indices in evaluating the effectiveness of business operations according to sustainable development practices of leading world class companies to ensure that the company puts in place management in every dimension of ESG principles and can generate sustainable returns to the investors as well as to create a long-term value for the stakeholders. It is an index that is accepted by institutional investors around the world, and also a proof of operational efficiency that is on par with leading organizations in the world.
- The Company commenced rendering a service of Bangkok Cancer Hospital Rayong in February 2023, the 57th network hospital of holistic cancer treatment. The Hospital provides treatment concerning radiology, chemotherapy, cancer patients transfer center, palliative care, and cancer screening with advanced technology to ensure the most efficient result while enabling patients living in the eastern region to gain access to the treatment. Bangkok Cancer Hospital Rayong collabo rates with Bangkok Hospital Rayong and Wattanosoth Cancer Hospital, BDMS network hospitals offering excellent services as comprehensive cancer centers as well as cooperates with many leading hospitals in the country to elevate medical competency and is a referral center for cancer patients in the eastern region.
- The Company commenced rendering a service of Bangkok Hospital Pluakdaeng in June 2023, the 58th network hospital with a total of 59 beds during the first phase (from the actual structure of 180 beds), located in Amphoe Pluakdaeng, Rayong which is the Eastern Economic Corridor (EEC). The Hospital provides tertiary services; for example, internal medicine, pediatrics, surgery, emergency medicine, occupational medicine, neurosurgery, radiology and orthopedics, etc. Bangkok Hospital Pluakdaeng collaborates with Bangkok Hospital Rayong, one of BDMS Center of Excellence, in elevating medical competency, and is a referral center in the eastern region, in response to increasing demands for medical care owing to a higher population in the EEC area.
- The Dental Lab of BDMS Wellness Clinic has been appointed as a Dental Lab certified and quality controlled by VITA from Germany. It is the first in the Asia Pacific region to be officially certified with VITA Certified Partner Seal.

- BDMS was selected as a member of “Dow Jones Sustainability Indices: DJSI) – emerging market index” in 2022 for 2 consecutive years. This has been known as the evaluation of sustainability indices of business operation at an international level. - In 2022, BDMS was chosen to be in the list of Thailand Sustainability Investment: THIS in the service sector for 3 consecutive years from the Stock Exchange of Thailand. The process in selecting Thailand Sustainability Investment will take into consideration the guidelines on governance and practices to support business operation to be responsible according to corporate governance principle and to integrate innovation with the aim to further value and social developments, conserve and maintain the environment as well as retain and develop personnel while being responsible for and promoting good health of the community and overall society.
- BDMS has developed a healthcare ecosystem under BeDee platform to expand opportunity in getting medical services via digital system, in a similar manner as getting medical treatment at the hospital. The system comprises of Teleconsultation to support online consultation with doctors, Telepharmacy to have an online consultation with the pharmacist to facilitate drug prescription and drug delivery right to the patient’s home via the application, which is connected with SAVE DRUG, the BDMS drugstore, including Health Content which provides health literacy and Health Mall where health-related goods and products areavailable for sale. Such innovation is considered as an elevation of the medical treatment standard and a transformation of medical services.
- Bangkok International Hospital (BIH) has been certified with LEED 2009 for Healthcare (Leadership in Energy and Environment Design) according to BIH’s mission which strives to foster sustainable society as well as minimize an impact of the development which in turn affects the environment at large.
- BDMS Emergency Services (BES) has been certified with CAMTS (the Commission on Accreditation of Medical Transport Systems), U.S.A. and CAMTS Global (the Commission on Accreditation of Medical Transport Systems Global) for 2 consecutive periods (during 2018-2021 and 2022-2025). BDMS is considered the second service provider in Asia and the third in the world which was granted 2 certificates or referred to as CAMTS – CAMTS Global “Dual Accreditation” while being the first in the world to receive the certificate of patient transport by boat as well as being the first in Asia to pass the certificates of every section of patient transport or BDMS Emergency Services (BES).

- BDMS has initiated BDMS Genomic Center Project with the objective to develop genetic testing to enhance competency in providing personalized medical treatment both in terms of prevention and treatment as well as to support research and development with pharmaceutical and vaccine manufacturing companies in the future. This Center will provide services to customers of all 53 BDMS network hospitals, including hospitals and external agencies, both in Thailand and in ASEAN countries. BDMS Genomic Center is under the operation of N Health Novogene Genomics Company Limited, a subsidiary in which BDMS has invested with NovogeneAIT Genomics Singapore Pte. Ltd. at the ratio of 75:25.

- BDMS Simulation Center or BDMS Clinical Skills Training Center was officially visited by the Society for Simulation in Healthcare (SSH), the leading health care simulation accreditation body in the world. The Center had passed the evaluation in terms of program administration, systematic evaluation of learning and teaching, resources management in an appropriate and worthy manner. In addition, during the Covid-19 situation, the Center has introduced teaching and learning innovation by applying BDMS Tele-Simulation Network System, enabling BDMS Simulation Center to become the first in Thailand to receive full accreditation in both core standard and teaching/ education standard sections from SSH on 1 December 2021. Such accreditation is considered clinical skills training accreditation by using medical simulation technique which has been accepted at an international level and such accreditation has also been accepted in other leading medical institutions abroad such as Harvard University, John Hopkins University, Yale University, Duke University etc.
- BDMS has been certified with Research Development and Innovation Management System (RDIMS) from National Science and Technology Development Agency (NSTDA) to certify that BDMS is the organization with potential and acceptable standard in conducting research, development and innovation. BDMS has been the first health organization which has been granted with such certification that can certify the research project with the value not exceeding Baht 3 million. Any research expenditures can be used for tax deduction at the rate of 200 percent in a form of selfdeclaration, starting from 31 March 2021 to 30 March 2024.
- BDMS has developed BDMS Health Ecosystem, a digital healthcare system, by investing through Health Plaza Company Limited with a registered capital of Baht 1,040 million. This system enables the users to quickly access medical and healthcare services provided by BDMS team of doctors, pharmacists and medical personnel specializing in various fields, from everywhere and at any time via online system. The service includes a delivery of medicines and medical supplies directly to the customers’ home. In addition, BDMS Health Ecosystem is also a platform that gathers medicines, health-related products, comprehensive health care knowledge to meet the needs of customers in today's rapidly changing world.

- According to the situation of the COVID-19 epidemic, BDMS Group has adjusted a working process, modified service formats as well as developed medical services in various dimensions for safety and building confidence among users, such as
- Telecare, a medical service system via information technology innovation where patients can consult doctors through online treatment systems at any time.
- Tytocare, an innovation which facilitates a preliminary health checkup so that patients can perform self-screening of disease and send a result to a doctor for online diagnosis, reducing the risk of travel.
- Germ disinfection robot to clean COVID-19’s patient wards.
- Drug and medical supplies delivery project by applying the Pharmasafe application as a channel for drug delivery tracking and drug consultation by hospital pharmacists.
- Bangkok Pattaya Company Limited, a subsidiary under BDMS network, started its operation of “Jomtien Hospital” with 232 beds in total. Jomtien Hospital is located on Sukhumvit Road, Amphoe Banglamung, Chonburi.
- BDMS network established “Health Plaza Company Limited” with a registered capital of Baht 40 million and Royal Bangkok Health Care Company Limited, a subsidiary of BDMS of which BDMS holds 100% shares. The objective of such establishment is to operate e-commerce business for products and services under BDMS network.
- Bangkok Hospital Chiang Rai Company Limited, a subsidiary under BDMS network, started its operation of “Bangkok Hospital Chiang Rai” with 80 beds in total. The hospital is located on Phaholyothin Road (Chiang Rai – Mae Jun), Amphoe Meung, Chiang Rai. It is well recognized as the 47th hospital of BDMS network with the intention to become a center that provides medical care while being able to support ASEAN countries situated in the upper area as well as the southern part of China.
- The Company commenced the operation of “Bangkok International Hospital” a 172-bed hospital located in Soi Soonvijai, New Petchaburi Road. It is the 48th hospital of BDMS network and specialized in neurology, orthopedic and spine diseases performed by experienced and skillful medical doctors and multidisciplinary under the concept of “Rediscovering Your Life” that combines art and science to provide a holistic treatment as a way to completely fulfill the needs of both patients and their relatives.
- Samitivej Public Company Limited, a subsidiary under BDMS network started the “Japanese Hospital by Samitivej”, the first Japanese hospital in AEC. With its 30 beds in total, this hospital is located in Soi Sukhumvit 49 where many Japaneses reside. The hospital is well-equipped with a team of medical doctors and Japanese nurses, coupled with state-of-the-art equipment and Tele-Translator which can translate Japanese language via video call system. The hospital provides 24-hour service in a Japanese traditional style as well as the design of the venue and various equipment to make patients and customers feel familiar and confident in getting the treatment similar to the hospital in their hometown.
Medicine and Medical Care
- BDMS and other network hospital organized the “BDMS Academic Annual Meeting 2019” during 14-16 August 2019 at Intercontinental Hotel, under the concept of “The Trusted Healthcare Network: The Era of Artificial Intelligence and Advanced Technology”. In this event, BDMS invited some expert physicians in multidisciplinary from various leading hospitals around the world to share their knowledge and experiences to physicians, dentists, pharmacists, nurses, physical therapists and medical personnel of more than 1,200 persons who attended this event.
Expanding network of hospitals and business, medical support
- The Company established a new subsidiary, BDMS Wellness Resort Co., Ltd., in which the Company holds 100%, to support the business of BDMS Wellness Clinic, with registered capital of Baht 100 million. Movenpick Hotel has been engaged to manage the wellness resort under “Movenpick BDMS Wellness Resort”.
- The Company opened the Chiva Transitional Care Hospital, the 46th hospital in the BDMS network. The hospital provides medical care in terms of rehabilitation for elderly patients who need to rehabilitate and undergo physical therapy after surgery, as well as patients with paralysis. The hospital is staffed by a team of physicians who specialize in geriatrics and rehabilitation, nurses and physical therapists that can provide continuous care to restore the body, nutrition and potential to engage in various activities with the aim of sending patients back into society.
- Bangkok Premier Life Insurance Broker Co., Ltd., a subsidiary, changed its name to Bangkok Premier Insurance Broker Co., Ltd. and expanded the business from just being a life insurance broker to a full insurance broker.
Medicine and Medical Care
- BDMS Emergency Services received a renewal of accreditation from The Commission on Accreditation of Medical Transport Systems (CAMTS), U.S.A. for the years 2015-2021. Also, the Company recently received CAMTS EU accreditation from The Commission on Accreditation of Medical Transport Systems Europe for the years 2018-2021, making us the first in the world to be accredited for patient transport via surface-boat by sea and the first in Asia to receive accreditation for all modes of patient transport, namely, Rotor Wing, Fixed Wing, Medical Escort, Surface Critical Care and Surface-boat. In addition, we are the second in Asia and the third in the world to receive dual accreditation under CAMTS-CAMTS EU.
A total of 13 network hospitals received dual accreditation for patient transfer by land, sea and air from CAMTS include 1. Bangkok Hospital, 2. Samitivej Sukhumvit Hospital, 3. Samitivej Srinakarin Hospital, 4. Bangkok Hospital Chiang Mai, 5. Bangkok Hospital Pattaya, 6. Bangkok Hospital Udon, 7. Bangkok Hospital Phuket, 8. Siriroj International Hospital, 9. Bangkok Hospital Samui, 10. Bangkok Hospital Sanamchan, 11. Bangkok Hospital Ratchasima 12. Phyathai Hospital 2 and Phyathai Hospital 3.
- Bangkok Heart Hospital opened the Preventive Heart and Lipid Clinic to identify patients with high risk and to prevent occurrence of coronary artery disease in the future by reducing the risk of side effects from coronary artery disease as much as possible. The clinic also provides information and knowledge in care and prevention of heart disease. Furthermore, the clinic has the objective to improve quality of service and diagnosis to meet international standards, as well as record new research on prevention of coronary artery disease. The highlights of the clinic are as follows:
- One-stop service for heart check-up and preventive program-detect heart disease from the early stages and prevent disease from the first sign of plaque in the coronary arteries or other arteries in the body.
- Personalized Medicine-the start of taking care of the heart in the new age, everyone has their own behavior, choosing medicine that suits the individual’s genes, choosing the food that suits the individual, as well as differing exercise programs to rehabilitate the heart depending on personal cause and risks.
- Registry and monitoring-health information, blood lab results and analysis of coronary artery are stored in the Preventive Heart and Lipid Clinic’s database. The clinic will make patients aware of risk of disease in the future as well as provide periodic follow-ups.
- Bangkok Hospital has adopted the Scarless Thyroidectomy technique. The advantages of the technique are that there is no scar on the neck as the wound is hidden inside the mouth, can see the vocal cords as the scope can provide a clear, enlarged view, reduces vocal cord damage, side effects are minimal, heals faster, less blood loss, minimal pain and short surgery time.
- BDMS and network hospitals organized the “BDMS Academic Annual Meeting 2018” during 14-17 August 2018 at the Intercontinental Hotel with the title “Excellent Healthcare Network: Medical Advances Meet Compassion”. Many expert physicians from around the world were invited to speak at the event and share their knowledge and experiences with the over 1,500 doctors, dentists, pharmacists, nurses, physical therapists and medical personnel who attended the event.

The award is given to companies listed on the Stock Exchange of Thailand with the highest organization brand value in each industry in 2018.

The Bangkok Orthopedic Center, Bangkok Hospital and the Department of Orthopedic Surgery, Stanford University signed a Memorandum of Understanding to exchange knowledge and skills in the field of orthopedics with a focus on excellence in the treatment of the musculoskeletal system. The cooperation also seeks to develop knowledge through research in orthopedic surgery as well as improve the efficiency in the treatment of patients with such ailments. Wattanosoth Hospital, the first hospital in Thailand specializing in complete cancer care, extended the agreement to collaborate on heavy ion therapy with the Chrismon Group, Japan. Heavy ion therapy is a modern technology that will raise the potential of Thailand as the center for cancertreatment in Asia Pacific. The technology is state-of-the-art and effective inthe treatment of cancer with shorter treatment time and fewer side effects.The treatment can be used with patients who are not suited to the conventionalirradiation or for those who did not see results with the conventional irradiation.It is also a good alternative for elderly patients who are not suitable for surgery.The advantage of this treatment is that it is highly accurate. The beams candestroy deep cancer cells with accuracy with the suitable amount of ions asthe beam will relieve most of the energy on the position so that the amountof ions that passes through the body will have as little effect on the normal cells as possible. - Nagoya University

Bangkok Dusit Medical Services PLC. and the Department of Orthopedics and Trauma at Hannover Medical School, Germanysigned an agreement to collaborate in the exchange of knowledge and skills in orthopedics and trauma surgery. Samitivej Children’s Hospital, a subsidiary, and Takatsuki Hospital, Japan signed an alliance agreement in pediatrics and neonatal intensive care unit (NICU) to develop medical personnel and exchange experiences in order to further the potential of Samitivej, better the quality of life of child patients and provide comprehensive medical care that meet international standards. - N Health Pathology Co., Ltd. together with the Royal College of Pathologists of Thailand organized the Interhospital Renal Clinicopathological Conference
N Health Pathology Co., Ltd. together with the Royal College of Pathologists of Thailand has organized the Interhospital Renal Clinicopathological Conference since 2016 giving the opportunity to over 50 kidney and pathology specialists as well as resident physicians from various medical schools and hospitals in Thailand to share interesting case studies to enhance diagnostics and treatment. The kidney academic conference shall be held three times a year.
Expanding network of hospitals and business, medical support
- Paolo Medic Company Limited, a subsidiary in which BDMS holds 99.99%, which operates the Paolo Phaholyothin Hospital and Paolo Hospital Rangsit, entered an entire business transfer of Mayo Hospital (Mayo Polyclinic Company Limited) on 18 January 2017. The transfer was paid in cash under the terms and conditions of the transfer agreement. Paolo Medic Company Limited increased the registered capital from Baht 600 million to Baht 1,000 million to pay for the transfer. The Mayo Hospital was later changed to “Paolo Hospital Kaset”, making it the 44th hospital in the BDMS network. Paolo Hospital Kaset is a secondary care hospital with 162 beds with high potential for growth. It is well situated along the MRT line and is a Referral Network Hospital for hospitals within the Group. The Hospital joined the list of Social Security hospitals in 2018.
- Bangkok Hospital Surat Company Limited, a wholly owned subsidiary, officially opened Bangkok Hospital Surat in Muang District, Surat Thani Province on 1 June 2017, making it the 45th hospital in the BDMS network. Bangkok Hospital Surat is a secondary care hospital with 150 beds, with 31 beds available in the initial stage after opening.
- Bangkok Hospital Chinatown on Yaowarat Road changed its name to “Samitivej Chinatown Hospital, one of the hospitals under management of the Samitivej Hospital Group. The Hospital provides complete medical services including consultation, diagnosis and treatment with experienced surgeons. - The Company established the BDMS Alarm Center, a hub for BDMS network hospitals, to provide complete, efficient care that meet international standards to critical and emergency patients. The Center provides 24-hour care every day with a team of emergency physicians and senior nursing staff as well as a network of medical vehicles in order to access and transfer patients swiftly in accordance with international standards and to provide service to patients from around the world.
Medicine and Medical Care
- Wattanosoth Hospital is using Precision Radiation Therapy for treatment with radiation. The technology uses EDGE radiosurgery system, which is accurate, fast and safe for each type of cancer. The radiosurgery delivers a high dose of radiation directly targeted to the tumor instantly and replaces surgery. Moreover, EDGE is efficient in controlling radiation to the shape of the cancerous tumor, thus, the surrounding tissue are less impacted from the radiation. The system provides quick delivery of high precision radiation, which improves the patients’ quality of life.
- Bangkok Hospital introduced the GI Motility Unit with the technology to treat Constipation and Gastro- Esophageal Reflux. It is a specialized clinic providing diagnosis and treatment to patients with gastrointestinal motility by specialist physicians and staff that meet international standards.
- Bangkok Hospital Dental Center introduced Computer Guided Implant Surgery dental implant treatment planning. The Cone-beam CT and computer programming can determine the placement of the implant with precision, decreasing the amount of time needed for surgery. The program can accurately pinpoint the location of the implant, thus, increasing the efficiency of the treatment planning for the benefit of the patient.
- Bangkok Hip & Knee Center, Bangkok Hospital introduced a surgical technique, “bikini incision” for hip replacement. The patients will have a faster recovery time, less pain, flexible movement, less chance of dislocation of hip and lessen concern of surgical scarring.
- HRH Princess Maha Chakri Sirindhorn presided over the opening of the 2017 annual academic conference “BDMS Academic Annual Meeting 2017: Global Partnership for Excellent Healthcare Towards Thailand 4.0” organized by Bangkok Dusit Medical Services Public Company Limited at the Intercontinental Hotel. - Surgery Center, Bangkok Hospital, introduced weight loss for patients with obesity and complications using Minimally Invasive Surgery (MIS) to reduce the size of the stomach by Laparoscopic surgery. The scar is smaller and recovery is faster. It also reduces the degree of medicine used to treat heart disease and diabetes in the obese and lessening the opportunity for premature death.
- The Company signed a memorandum of understanding with 4 other parties, namely, the Ministry of Tourism and Sports, the Tourism Council of Thailand, Viriyah Insurance and Angel Life, for the project “Tourism Healthcare Emergency System”. The objective is to enhance the safety of Chinese tourists by providing complete emergency medical care. The technology is state-of-the-art and effective in the treatment of cancer with shorter treatment time and fewer side effects. The treatment can be used with patients who are not suited to the conventional irradiation or for those who did not see results with the conventional irradiation. The advantage of this treatment is that it is highly accurate. The kidney academic conference shall be held three times a year.

Expansion of BDMS network
- Royal Bangkok Healthcare Company Limited, a subsidiary in which the Company holds 100%, acquired the remaining shares of Bangkok Helicopter Services Company Limited (BHS) from South East Air Company Limited, making BDMS the owner of 100% of BHS. BHS has increased its registered capital from Baht 100 million to Baht 300 million. The increase capital has been used to facilitate two Sky ICU units, Helicopter BHS1 (model EC145) and Helicopter BHS2 (model H145). The two helicopters are ready to operate 24 hours and can provide emergency care, as if the patient were in intensive care, from departure to the hospital.
- Bangkok Helicopter Services Company Limited (BHS), a subsidiary, leased an airplane model ATR72 from Bangkok Airways Company Limited for three years. The airplane is to be used to care for and transfer patients of the BDMS hospital network. It more efficiently facilitates rapid medical services and transfer of patients and their family, physicians and nurses by air domestically and internationally.
- The Company established a new wholly owned subsidiary, BDMS Asset Management Company Limited, to manage non-hospital related assets with a registered capital of Baht 10 million.
- The Company established a new wholly owned subsidiary, BDMS Wellness Clinic Company Limited, to purchase the land where the Park Nai Lert Project was situated on No. 2 Wittaya Road, Lumpini Sub-District, Pathumwan District, Bangkok. The land has total area of approximately 15 rai and includes the Swissotel building and the Promenade building, with total value of Baht 10,800 million and capital expenditure for property development of approximately Baht 2,000 million. The land will be used to develop the BDMS Wellness Clinic, which seeks to provide integrated care for the well-being of our patrons, both physically and mentally, as well as enhance longevity.
- Paolo Medic Company Limited (“Paolo”), a subsidiary in which the Company holds 99.99%, acquires and receives the transfer of the entire business of Mayo Polyclinic Company Limited (“MYPC”), a 162 bed private hospital operating under the name of Mayo Hospital situated on Phahonyothin Road, Chatuchak District, Bangkok. Paolo paid MYPC Baht 1,390 million and completed the transaction in January 2017. Paolo increased the registered capital from Baht 600 million to Baht 1,000 million in order to pay for the acquisition of MYPC
- The Medic Pharma Company Limited, within the BDMS Group, opened a new medicine manufacturing plant on 15 rai land in the Sinsakhon Industrial Park, Samutsakhon Province. The new plant has comprehensive innovation and technology that meet international quality standards to support both domestic and foreign demand. Thus increasing the opportunity for Thais and Asians to access high quality modern medicine that is produced in a plant that meets international standards.

- BDMS received “The Best Manage Company Award for Thailand 2016 – Large Capitalization” from Asia Money magazine. This award was based on the results of a poll conducted with investors and analysts from around the world. The award ceremony was held on 22 February 2017 at the Conrad Hotel in Hong Kong.
- Medic Pharma Company Limited, a subsidiary, received the “FDA Quality Award” for the third consecutive year from the Food and Drug Administration. The award is presented to enterprises that have shown virtue and ethics in the production of quality goods under approved standards and safety. - Bangkok Hip & Knee Center, Bangkok Hospital, announced their success in developing a new technique to treat osteoarthritis of the hip with “Direct Anterior Approach Total Hip Replacement”. The technique requires an incision located at the front of the hip without the surgeon having to detach any of the muscles or tendons. It also reduces pain, has minimal scarring, allows for convenient movement, reduces complications, has faster post-operative recovery and reduces dislocation after surgery, thus, providing a better quality of life for the patient.
- Wattanosoth Hospital announced the new PET/CT with flow motion. The scanner is able to precisely diagnose cancer faster, is smaller and can increase the opportunity of treating cancer in a timely manner. Wattanosoth Hospital acquired the two new model PET/CT scanners to better accommodate the increasing number of cancer patients.
- Bangkok Hospital opened the “Bangkok Sleep & Epilepsy Center” providing a sleep lab to diagnose patients who experience symptoms during sleep such as snoring, sleep apnea, excessive sleepiness and narcolepsy. The Center also provides advice on innovation and technolog that can diagnose with precision.

- Bangkok Hospital introduced a new technique in diagnosing orthopedic problems with precision. The Hospital introduced the Biplane Imaging (EOS) machine, which allows for a life-size full-body image of your skeleton in 3D, in your natural standing position or global balance. Biplane Imaging (EOS) captures the whole skeletal system in a single scan. Frontal and lateral images are obtained simultaneously and presented as a 3D model, using from 6 to 9 times less radiation than x-rays. This allows physicians to evaluate and diagnose bones and structure with precision whether it be the neck bone, spine or ankle.
- Phyathai Hospital 1 received accreditation as a “Comprehensive Stroke Center” from DNV-GL, an international accreditation from Europe and U.S.A. Presently, stroke is the number one critical disease that has taken the lives of Thais.

Quality of Service
At the end of 2016, the Group had a total of 31 hospitals within the network that had received accreditation from Hospital Accreditation Thailand (HA). In addition, 14 hospitals had received accreditation from Joint Commission International (JCI). Bangkok Hospital also received Advanced HA Accreditation. The hospitals are listed below:
Expansion of BDMS network
- The Company changed the ticker symbol from "BGH” to "BDMS”.
- Bangkok Hospital Rayong Company Limited, a subsidiary in which the Company holds 100%, officially opened the Sri-Rayong Hospital on 5th January 2015. Sri-Rayong Hospital is a private hospital with 195 beds located in Cheung Nern Sub-District, Muang District, Rayong Province, which aims to provide service to patients entitled to social security benefits in Rayong Province.
- Royal Bangkok Healthcare Company Limited ("RBH”), which is a 100% owned subsidiary, purchased shares of General Hospital Products Public Company Limited ("GHP”), a manufacturer of intravenous solutions namely, saline, glucose and other medical supplies. The Company holds shares of GHP through RBH and Medic Pharma Company Limited equal to 44.67% of the registered capital of General Hospital Products Public Company Limited.
- Samitivej Chonburi Company Limited, a subsidiary in which the Company holds 100%, officially opened Samitivej Chonburi Hospital on 1st June 2015. Samitivej Chonburi Hospital is a medium sized general hospital with 57 beds located on Sukhumvit Road, Baan Suan Sub-District, Muang District, Chonburi Province.
- Bangkok Phuket Hospital Company Limited, a 100% owned subsidiary, officially opened Dibuk Hospital on 9th July 2015. Dibuk Hospital is a 32-bed private hospital located on Chao Fah Tawantok Road, Wichit Sub-District, Muang District, Phuket Province, and aims to provide primary care, as well as services to patients on life insurance and car insurance, at a reasonable price.
- The Company established a 100% owned new subsidiary named Bangkok Hospital Chiang Rai Company Limited, aiming to invest in a private hospital in Chiang Rai Province, with a registered capital of Baht 100 million.
- Bangkok Hospital Muangraj Company Limited, a 100% owned subsidiary, acquired and accepted the transfer of the entire business of G. Wasupol Company Limited, which operated a private hospital named Muangraj Hospital in Ratchaburi province. Bangkok Hospital Muangraj Company Limited paid a total of Baht 1,427,030,155.50 on 1st September 2015 and accepted all the liabilities of G. Wasupol Company Limited, which would not exceed Baht 47 million.
Development in Medication
- HRH Princess Maha Chakri Sirindhorn presided over the opening of the 2015 annual academic conference "Global Alliance to Excellent Health Care” organized by Bangkok Dusit Medical Services Public Company Limited, which includes Bangkok Hospital Group, Samitivej Hospital, BNH Hospital, Phayathai Hospital, Paolo Hospital and Royal Hospital, held at the Intercontinental Hotel.
- Samitivej Hospital opened the Critical Care Complex, a state of the art medical center providing complete medical care, which includes 8 new operating rooms, 5 labour rooms, a neonatal intensive care unit and 16 new ICU rooms. All these rooms have been designed to provide the best working environment for surgeons, moreover, the eight new state-of-the-art surgical suites are all fully equipped with the latest surgical technology to increase patients’ safety and well being.
Awards Received
- The Company received the "Thailand’s Top Corporate Brand 2015” award in the category of medicine, from the Faculty of Commerce and Accountancy, Chulalongkorn University, with an organizational brand worth Baht 178,000.29 million, ranking fifth. On this occasion, Mr.Prasert Prasarttong-Osoth, M.D., Group Chief Executive Officer and President, received the award from Professor Pirom Kamolratanakul, M.D., President of Chulalongkorn University.
- Mr.Prasert Prasarttong-Osoth, M.D., Group Chief Executive Officer and President, Bangkok Dusit Medical Services Public Company Limited received the "2014 Thailand Outstanding Hospital Administrator of the Year” award from Privy Councillor Kasem Watanachai, M.D. organized by the Thailand Hospital Administrator Association. The Association selects successful hospital administrators with well recognized achievements and are good examples for the public health organizations at the 2015 annual academic conference held at the Bamrasnaradura Infectious Diseases Institute, Ministry of Public Health.
- The Stock Exchange of Thailand together with Money & Banking Magazine awarded the Company the "2015 Outstanding Investor Relations Award” for listed companies with market capitalization of over Baht 100,000 million.
- Bangkok Hospital received the Advanced HA Certificate for process in improving hospital quality in accordance with the Hospital and Healthcare Organization Standards, the 60th Anniversary of His Majesty the King’s Accession to the Throne Edition, from the Ministry of Public Health at the opening ceremony of the 16th HA National Forum. A total of 3 hospitals have received this level of accreditation, namely, Siriraj Hospital, Bhumibol Hospital and Bangkok Hospital.
- Bangkok Hospital received the TQM-Best Practices in Thailand award for work on Information Management in Hospitals, which utilizes information management to support the hospital’s business in Critical Care Information System (CCIS) to care for diabetes patients (EMR system).
- Bangkok Chantaburi Hospital received the Thailand Energy Awards 2015 for energy conservation in the category of controlled buildings, from the Ministry of Energy.
- Samitivej Public Company Limited, a subsidiary, received the following awards:
- Thailand Top Company Awards 2015 for the third consecutive year in the category of Best Medical Healthcare Organization from the University of the Thai Chamber of Commerce together with Business Magazine. It is a prestigious award given to companies with outstanding performance in medicine and healthcare through corporate governance.
- HRH Crown Princess Maha Chakri Sirindhorn's Thailand Corporate Excellence Awards 2015. The Company received the TMA-SASIN Management Excellence Award in the category of medium sized organization with annual revenue under Baht 10,000 million from the Thailand Management Association (TMA) in collaboration with the Sasin Graduate Institute of Business Administratoin (Sasin) of Chulalongkorn University. The award honors companies for their business excellence.
- A.N.B. Laboratories Company Limited and Medic Pharma Company Limited, both subsidiaries of the Company, received the Quality Award from the Food and Drug Administration for the second consecutive year. This award, under the theme "Quality, Safety, Social Responsibility”, is given as recognition of the subsidiaries’ achievement as a morally and ethically relevant workplace in manufacturing healthcare products, which meet safety and quality standards.
Medical Cooperation
- Sano Hospital
Samitivej Public Company Limited, a company subsidiary, signed an agreement with Sano Hospital, Japan for cooperation in studying and developing projects on gastrointestinal tract disease, as well as patient referrals, as appropriate to the illness, between the two hospitals. - MD Anderson
Bangkok Dusit Medical Services Public Company Limited together with the Faculty of Medicine Siriraj Hospital collaborated to become a Sister Institution of MD Anderson Cancer Center (MDACC) of the University of Texas, U.S.A. under the Global Academic Program (GAP). This is the first time for collaboration among 3 institutions from public and private organizations in Thailand and the U.S.A., to support basic research and developments in safe and efficient treatment, as well as the exchange of knowledge and case studies across the regions, to provide happiness, quality of life, including the prevention and cure of cancer. - Stanford
The Bangkok Orthopaedic Center, Bangkok Hospital and the Department of Orthopaedic Surgery, Standford University signed a Memorandum of Understanding to exchange knowledge and skills in the field of orthopaedics with a focus on excellence in the treatment of the musculoskeletal system. The cooperation also seeks to develop knowledge through research in orthopaedic surgery as well as improve the efficiency in the treatment of patients with such ailments. The signing of the agreement will lead to cooperation in studies, research and medical conferences to develop the potential of medical personnel. - OHSU
BDMS with the Oregon Health & Science University (OHSU) established the BDMS-OHSU International Health Alliance to become an international medical center and elevate to a medical excellence center in all areas, especially in occupational health and pediatrics, in the Asia Pacific region. - Heavy Ion Therapy
Wattanosoth Hospital, a hospital specializing in cancer, signed an agreement to collaborate with Universal Strategy Institute Limited Liability Company, Japan on the establishment of an irradiation center, which will use the "Heavy Ion Therapy” technology, as part of the plan to become the center for cancer treatment in the Asia Pacific region. The technology is state-of-the-art and effective in the treatment of cancer with shorter treatment time and fewer side effects. The treatment can be used with patients who are not suited to the conventional irradiation or for those who did not see results with the conventional irradiation. The advantage of this treatment is that it is highly accurate. The beams can destroy deep cancer cells with accuracy with the suitable amount of ions as the beam will relieve most of the energy on the position so that the amount of ions that passes through the body will have as little effect on the normal cells as possible. - Nagoya
Bangkok Dusit Medical Services Public Company Limited together with Nagoya University, Japan signed an agreement on two significant items, (1) cooperation in studies through medical personnel exchanges for training in all fields of medicine and (2) referrals of patients between the University and the Hospital in the case that a patient should be travelling to Thailand (and neighboring countries) or to Nagoya (and nearby places). This is a great opportunity to enhance the potential of Thai medical personnel in order to be able to provide more internationally standardized services. A representative from the Japanese Embassy in Thailand was invited to witness the signing ceremony. - Collaborated with one of the leading neurosurgeons
BDMS has collaborated with Dr. Kieth L. Black, one of the leading neurosurgeons in the world and currently holds the position of Director of the Maxine Dunitz Neurosurgical Institute at Cedars-Sinai Medical Center in Los Angeles, California. This collaboration has focused on researching and developing capabilities in treating diseases of the brain and nervous system, thus, enabling BDMS to become one of the most up-to-date medical centers in diseases of the brain and nervous system (neuroscience) in the Asia Pacific Region. - Straumann
Bangkok Hospital Dental Center has worked in collaboration with Straumann, a world-renown expert in implant, restorative and regenerative dentistry, in order to increase our efficiency in the dentistry implant and oral hygiene care. We have thus, been appointed as Straumann Partner Center Thailand. - Doernbecher Children’s Hospital
Samitivej Public Company Limited, a subsidiary, signed an alliance agreement with Doernbecher Children’s Hospital located in Oregon, U.S.A., a well-known children’s hospital awarded the highest rating for quality and safety in children’s health care in 2014 from the University Health System Consortium of hospitals for pediatric quality. Samitivej also opened the Samitivej International Children’s Hospital, both at Sukhumvit and Srinakarin, and has developed a Center of Excellence. Samitivej International Children’s Hospital has supported the national policy and direction of Thailand to become the medical hub of the Asia-Pacific Region.
Quality of Service
As at the end of 2014, the Company’s group of private hospitals includes 19 hospitals that have received national recognition by the As of the end of 2015, the Company’s network of private hospitals had received accreditation at various levels. A total of 22 hospitals were certified by Hospital Accreditation (HA) and 12 organizations (11 hospitals and 1 clinic) were certified by the Joint Commission International (JCI). Furthermore, Bangkok Hospital received Advanced HA, making us one of only three hospitals in Thailand to receive such an accreditation, the other two hospitals being Siriraj Hospital and Bhumibol Hospital.
- The 2014 Shareholders’ Annual General Meeting held on 18th April 2014 approved the change in the par value of the Company’s common shares by reducing the par value from Baht 1 per share to Baht 0.10 per share, resulting in the increase of the number of the Company’s ordinary shares from 1,700,004,771 shares to 17,000,047,710 shares. However, the shareholding ratio of existing shareholders will not be affected by the change in the par value above and the registered capital as well as the paid-up capital of the Company will remain unchanged. The change in par value of the Company’s common shares came into effect on 25th April 2014.
- The Extraordinary General Meeting of Shareholders of Bangkok Dusit Medical Services Public Company Limited No. 1/2014 held on 5th August 2014 approved the issuance and offering of unsecured and unsubordinated convertible bonds in an amount not exceeding Baht 10,000 million or an equivalent amount in other currencies. The bonds may be converted into ordinary shares of the Company during the term of the bond.
On 18th September 2014, the Company offered the convertible bonds in the amount of Baht 10,000 million entirely to foreign investors. The convertible bonds are zero-coupon and may be redeemed in 2019. Subsequently, the Company listed the convertible bonds on the Singapore Exchange Securities Trading Limited on 19th September 2014 (details of the convertible bonds are shown on page 50)
- The Extraordinary General Meeting of Shareholders of Bangkok Dusit Medical Services Public Company Limited No. 1/2014 held on 5th August 2014 approved the increase in the registered capital of the Company in the amount of Baht 100,691,217.40 from the existing registered capital of Baht 1,549,095,654 to Baht 1,649,786,871.40 by issuing 1,006,912,174 new ordinary shares at par value of Baht 0.10 per share, divided as follows:
- newly issued ordinary shares to support the conversion of the convertible bonds in the amount not exceeding 542,183,478 shares with par value of baht 0.10 per share (equal to 3.5% of the Company’s paid-up capital) and;
- newly issued ordinary shares under the general mandate in the amount not exceeding 464,728,696 shares with no more than 232,364,348 newly issued shares representing 1.5% of the Company’s paid-up capital to be allocated for offering to the public and no more than 232,364,348 newly issued shares representing 1.5% of the Company’s paid-up capital to be allocated for offering on a private placement basis.
Either or both methods of allocation in aggregate shall not exceed 1.5% of the Company’s paid-up capital as at the date on which the Board of Directors resolved to approve the capital increase or totaling not exceeding 232,364,348 shares.
BDMS hospital network expansion and investment in healthcare related companies
- On 31st January 2014, HRH Princess Maha Chakri Sirindhorn presided over the opening ceremony of Bangkok Hospital Chinatown, which began operating on 12th November 2014. The Hospital, a 59 bed private hospital, is located on Yaowaraj Road.
- Bangkok Hospital Chiangmai Company Limited, a subsidiary in which the company holds 100%, officially opened the Bangkok Hospital Chiang Mai on 11th July 2014. Bangkok Hospital Chiangmai is a 185 bed private hospital located in Muang Chiangmai District, Chiangmai Province.
- The Company established a new subsidiary of the Company under the name Bangkok Hospital Sanamchan Company Limited with a registered capital of Baht 3,655 million, divided into 365,500,000 ordinary shares with a par value of Baht 10 per share, approximately 99.99 per cent of which is held by the Company, in order to acquire and receive the transfer of the entire business of Sanamchan Hospital Company Limited ("Sanamchan”) which is a company operating a private hospital in Nakorn Pathom Province under the name "Sanamchan Hospital”. The transfer was completed on 15th August 2014 and the businesses transferred included Sanamchan Hospital, Muang Petch-Thonburi Hospital, as well as 44.5% equity interest in Thepakorn Hospital Company Limited and 25% equity interest in G. Wasupol Company Limited which currently operates Muang Ratch Hospital.
- The Company established a subsidiary under the name "Bangkok Phuket International Hospital Company Limited” with a registered capital of Baht 3,610,000,000 divided into 361,000,000 ordinary shares with par value of Baht 10 per share, in which the Company holds 100%, to acquire and receive the entire business transfer of Phuket International Hospital Company Limited, which operates a private hospital under the name "Siriroj Hospital”, a 151 bed hospital in Phuket Province.
- Bangkok Hospital Khon Kaen Company Limited, a subsidiary in which the company holds 100%, officially opened the Bangkok Hospital Khon Kaen on 10th November 2014. Bangkok Hospital Khon Kaen is a 140 bed private hospital located in Muang Khon Kaen District, Khon Kaen Province.
- Phnom Penh Medical Services Company Limited, a subsidiary in which the company holds 100%, officially opened the Royal Hospital, Phnom Penh on 18th November 2014. Royal Hospital is a 100 bed private hospital located in Phnom Penh, Cambodia.
- The Company has established the Bangkok Save Drug Company Limited with registered capital of Baht 450 million, divided into 45,000,000 common shares with a par value of Baht 10 per share, approximately 99.99% of which is held by the Company, in order to acquire all shares of Save Drug Center Company Limited, which is engaged in sale of medicine, supplementary food, and medical supplies and equipments businesses under the brand "Save Drug” through 107 stores and branches nationwide.
Medical Advancement and Development
- Bangkok Hospital has upgraded its minimally invasive surgery technology with the introduction of the "Advanced 3D Laparoscopic Surgery”, which improves the accuracy and precision while providing natural 3D vision and depth perception while performing laparoscopic procedures. The procedure thus offers less scarring, less pain, and faster recovery. The technology is now being used at three major centers, including the Bangkok Surgery Clinic, Bangkok Women’s Health Center and Bangkok Urological Center and has expanded to treatment of cancer such as colon cancer, prostate cancer and gastric cancer.
- Paolo Memorial Hospital Nawamin, under management of Thai Medical Center Public Company Limited, has changed its name to "Phyathai Hospital Nawamin”. In addition, the hospital has improved the quality and standards of its medical services with physicians specializing in various areas and state-if-the-art technology enabling the hospital to provide care for more complex ailments which meet the standards of the Phyathai Hospital Group. This improvement has resulted in quality medical services for the greatest benefit to the patients.
- Bangkok Hospital awarded prizes to the Bangkok Emergency Services (BES) and OPD Patient Flow Project in the category of Core Process Improvement Project to applaud departments that aimed to improve internal processes, lessen redundancy, lower cost, increase efficiency, increase speed and lessen procedural mistakes within the organization.
- Bangkok Heart Hospital opened the Hybrid OR, which can rotate 360 degrees freely while taking
"Flex Move Heart Navigator” and "Software Heart Navigator” x-rays and can make an image of the heart in great detail. It has the capability to perform a Transcatheter Aortic Valve Implantation, Valvular Repair or Stenting using a Fluoroscopy. The highlight of the Hybrid OR is that it combines the Catheterization Unit and the Cardiothoracic Surgeries into one room. In the case that there are complications, the surgeons can operate immediately without having to move the patient. - Bangkok Hospital opened the "Brain Power, Fit Brain, Firm Life Center” "Bangkok Hospital open"
The Brain Power center” providing full service care for the brain with physicians from 5 clinics, namely, Stroke Clinic, Epilepsy Clinic, Memory Clinic, Headache Clinic, and Parkinson’s and Movement Disorder Clinic. - National Healthcare Systems Company Limited (N health), a subsidiary of Bangkok Hospital, and the National Science and Technology Development Agency (NSTDA), Ministry of Science and Technology signed a memorandum of understanding on research & product development and medical services support. The aim, through the experience and expertise of N health, is to stimulate product development, material development and efficient medical care, as well as push for real practice in leading hospitals both in Thailand and offshore in order to decrease imports and turn Thailand into a medical hub in anticipation of the growth in the ASEAN region.
- The Bangkok Health Research Center, Bangkok Hospital Group has been certified as a AO Clinical Study Site (AOCSC) by the AO Foundation. This certi?es that the Center’s clinical research, training of clinical research personnel and important role in controlling the quality of clinical research in the field of Orthopaedic Surgeryand the treatment of bones and joints meet international standards.
- HRH Princess Maha Chakri Sirindhorn presided over the opening of the 2014 annual academic conference organized by Bangkok Dusit Medical Services Public Company Limited entitled "Get Healthy Get Ready for ASEAN Community”, which was comprised of 6 hospital groups, namely, Bangkok Hospital, Samitivej Hospital, BNH Hospital, Phyathai Hospital, Paolo Memorial Hospital and Royal Hospital in Cambodia. HRH graciously supported the cooperation in providing healthcare of the Thai people of all genders and ages, the development of medical academics and the integration of Thai public health as well as publicizing Thailand’s potential in terms of medical care and public health to the ASEAN Community and the international medical center at the World Heart Day on 26th September 2014.
- BDMS organized a press conference to announce a new upgrade to the Group’s medical services with the launch of "B-eXchange”, a database that connects medical records in its hospital network into one centralised system. The system is being implemented within the Bangkok Hospital, Samitivej Hospital, BNH Hospital, Phyathai Hospital and Paolo Memorial Hospital to increase the quality of medical services and decrease treatment errors, thus creating a foundation to becoming the medical hub of the ASEAN region.
Medical Cooperation

Accreditation and Special Recognition

The Group also has 12 hospitals and 1 clinic that have received international recognition by the Joint Commission International (JCI), namely, Bangkok Hospital Medical Center (comprised of 3 hospitals which are Bangkok Hospital, Bangkok Heart Hospital and Wattanosoth Hospital), Bangkok Hospital Pattaya, Bangkok Hosptial Phuket, Bangkok Hospital Samui, Bangkok Hospital Hua Hin, Samitivej Hospital Sukhumvit, Samitivej Hospital Srinakarin, Samitivej Hospital Sriracha, BNH Hospital and International Clinic Koh Chang.
- BDMS received the "Southeast Asia Top Companies for Leaders Special recognition 2014” presented by AON Hewitt. The Company was selected from leading organizations around the world in terms of connectivity and consistency of leadership practices and financial results.
• The Company registered the long term land leasehold on Yaowarat Road with area of 1-0-99 rai including a 12,000 sq. m. building with the Best Fortune Property and Loan Fund for a period of 30 years. This was for the renovation of the land and building into a new private hospital under the name "Bangkok Hospital Chinatown". The hospital will provide selected tertiary care services and Advanced Emergency and Intermediate Care, and is expected to start operating in 2014.
• The Company has set up a new 100% owned subsidiary named, Bangkok Hospital Khon Khaen Company Limited with a registered and paid-up capital of Baht 600 million. The Company bought the Vechprasit Hospital building in Muang District, Khon Khaen Province and is renovating the building in order to open a new hospital under the name, Bangkok Hospital Khon Khaen. The new hospital is expected to open within 2014.
• The 2013 Annual General Meeting of the Shareholders on 18th April 2013 resolved to approve to extend the allocation of newly issued shares n under the General Mandate of no more than 154,545,888 shares at par value of Baht 1. The new shares are to be issued by the next Annual General Meeting of the Shareholders or within the date at which the law requires the next annual general meeting of the shareholders to be held , whichever comes first.
• The 2013 Annual General Meeting of the Shareholders on 18th April 2013 resolved to approve the purchase of shares of The Medic Pharma Company Limited from the existing shareholders. The Medic Pharma Company Limited was originally an associated company in which the company held 49% ownership. After the company purchased additional shares, the company's shareholding in the Medic Pharma Company Limited increased from 1,050,000 shares or 49% to 1,862,000 shares or 86.89% of the registered and paid-up capital.
• The Royal Bangkok Healthcare Company Limited (RBH), a 100% owned subsidiary, purchased shares of Krungthon Hospital (KDH) from some of the existing shareholders equal to 24.94% of the outstanding shares at Baht 55 per share. When combined with the existing KDH shares already held by the Company equal to 3,002,029 shares or 20%, RBH had to make a tender offer for all shares of KDH at the same price. After the tender offer, RBH held a total of 3,750,859 shares of KDH or 25.01%. This resulted in the ownership of 45.02% of KDH by the Bangkok Hospital Group. Consequently, Krungthon Hospital Public Company Limited registered its name change to "Thonburi Medical Center Public Company Limited" (Trading Name: KDH) and changed the name of the hospital to Samitivej Hospital Thonburi, making it the 30th hospital in the Bangkok Hospital Network.
• Later, at the KDH Extraordinary Shareholders' Meeting 1/2013 on 31st October 2013, the meeting approved the increase in registered capital of another Baht 75 million, resulting in registered capital increasing from Baht 150 million to Baht 225 million. The rights offering of 7.5 million shares at Baht 80 per share at 2:1, existing shares to new shares, garnered interest for only 4.384 million shares. While the Bangkok Hospital Group exercised its entire right to the new shares resulting in the increase of the Group's holding to 55.3% of the registered and paid-up capital after the rights offering (Baht 193.84 million).
• The Company set up a new wholly owned subsidiary named Bangkok Hospital Phitsanulok Company Limited with a registered and paid-up capital of Baht 600 million. On 1st October 2013, Phitsanulok Hospital purchased and took over the business of Rattanavej Hospital Company Limited, a private hospital in Muang District, Phitsanulok Province. The takeover was priced at Baht 576 million and the hospital reopened under the name "Bangkok Hospital Phitsanulok", making it the 31st hospital in the Bangkok Hospital Network. In addition, the company issued a rights offering under the general mandate for 3,636,771 shares to the existing shareholders of Rattanavej Hospital Company Limited through a private placement at Baht 127.22 per share totaling Baht 463 million. This increased the registered and paid-up capital from Baht 1,545,458,883 to Baht 1,549,095,654.
• The Company set up a new wholly owned subsidiary named Samitivej Chonburi Company Limited with a registered capital of Baht 600 million to operate a private hospital under the name "Samitivej Hospital Chonburi" in Muang District, Chonburi Province.
• The Company set up a new wholly owned subsidiary named Bangkok Hospital Surat Company Limited with a registered capital of Baht 300 million to operate a private hospital under the name "Bangkok Hospital Surat" in Muang District, Surat Thani Province.
• Bangkok Hospital Phuket Company Limited, a subsidiary in which the Company holds 99.69%, invested in the construction of a second hospital under the name "Deebuk Hospital" with total investment of approximately Baht 627 million and is expected to open within 2014.
• The Company has set up two holding companies in Singapore. The first holding company is BDMS Inter Pte. Ltd. with a registered capital of USD 40,000 and was set up for the Groups overseas investments. The second holding company is N Health Asia Pte. Ltd. with a registered capital of USD 40,000 and was set up for investments of the Group in offshore labs.
he investment in hospitals in the Lao People's Democratic Republic as well as investments in medical laboratories and equipment in the ASEAN region. The subsidiaries were set up through the holding company in Singapore and are as follows:
1. A subsidiary in the Lao People's Democratic Republic to invest in the construction of a hospital in Luang Prabang with a registered capital of about Baht 10 million and 100% owned by BDMS Inter Pte. Ltd. (Singapore).
2. N Health Myanmar Co., Ltd. with registered capital of USD 500,000 and 60% owned by N Health Asia Pte. Ltd. (Singapore).
3. N Health Laos Co., Ltd. with registered capital of USD 200,000 and 70% owned by with N Health Asia Pte. Ltd. (Singapore).
4. N Health Cambodia Co., Ltd. with registered capital of USD 320,000 and 100% owned by with N Health Asia Pte. Ltd. (Singapore).
The Company invested in an additional 70,522,600 common shares of Bumrungrad Hospital Public Company Limited equal to 9.66% of registered and paid-up capital. Consequently, the Company now holds 174,350,200 shares or 23.88% of registered and paid-up capital of Bumrungrad Hospital Public Company Limited.
The Annual General Meeting of the Shareholders in 2012 approved the decrease of registered capital in the amount of Baht 7,932,525 from Baht 1,553,391,408. This resulted in new registered capital of Baht 1,545,458,883. The Meeting also approved increase in registered capital by way of a general mandate in the amount of Baht 154,545,888 from Baht 1,545,458,883, resulting in new registered capital of Baht 1,700,004,771for flexibility in raising capital for the business. However, to date, the Company has not increased capital through said general mandate.
Bangkok Dusit Medical Services Public Company Limited made a tender offer for all outstanding shares of Prasit Pattana Public Company Limited ("PYT") in order to delist shares of PYT from the Stock Exchange of Thailand with the Office of the Securities and Exchange Commission. After the tender offer, Prasit Pattana Public Company Limited delisted shares from the Stock Exchange of Thailand on 4th May 2012 and the Company now holds 98.32% of Prasit Pattana Public Company Limited.
The Company established a new 100% owned subsidiary under Bangkok Hospital Chiangmai Company Limited to construct a 200-bed hospital in Muang District, Chiangmai Province with registered capital of Baht 1,000 million and paid-up capital of Baht 250 million.
The Company established a new 100% owned subsidiary under Bangkok Hospital Udorn Company Limited to operate a 120-bed private hospital on Thongyai Road in Muang District, Udornthani Province with registered and paid-up capital of Baht 500 million. The subsidiary bought the business from Udorn Panyavej Hospital and officially commenced business as Bangkok Hospital Udorn on 12th December 2012, making it the 29th hospital in the Bangkok Hospital Group.
The Bangkok Hospital network is visionary in introducing technological innovation, namely ROBO DOCTOR or Remote Presence System from U.S.A., to increase efficiency of patient care. Patients have close and fast access to specialist physicians so that people in remote areas can be treated by standardized specialists. ROBO DOCTOR has been introduced in three hospitals, namely, Bangkok Hospital (Soi Soonvijai), Bangkok Hospital Phuket and Bangkok Hospital Pattaya to provide efficiency in patient referral and fast access to specialists. Patients and doctors are able to interact face-to-face and exchange information, which strengthens efficiency of care and confidence of the patients in accepting medical care.
Bangkok Hospital Medical Center and the College of Sports Science and Technology, Mahidol University received the FIFA Medical Centre of excellence Certificate from Jiri Dvorak, M.D., FIFA Chief Medical Officer. The cooperation has brought about newly developed health insurance policies that meet the needs of the consumers to access quality medical care while saving costs when in need.
The Phyathai Hospital Group and the Bangkok Hospital Group joined forces to open the Phyathai 3 Heart Center by Bangkok Heart Hospital with a budget of over Baht 100 million to expand client base in Thonburi area. Reiterating the Group's leadership in heart hospitals that meet international standards and the use of Off-Pump CABG. Moreover, the heart hospital provides complete service in health care and heart disease with state-of the-art technology and a team of specialists in all fields of heart disease to meet the international standards (JCI) and provide heart patients in the Thonburi area with the same level of service as received at Bangkok Heart Hospital. The Hospital provides complete diagnosis and treatment of heart and coronary disease from initial diagnosis, examination using special equipment, care and prevention of heart disease, surgery and after surgery recovery, as well as rehabilitation of the heart using internationally recognized modern medical equipment and technology.
The Bangkok Hospital Group joined forces with the Paolo Memorial Hospital Group to develop medical technology and medical services by opening the "Cancer Center" Paolo Memorial Hospital by Wattanosoth Hospital to meet the needs and lifestyles of patients as much as possible. The Center provides complete services in the prevention and treatment of cancer from detection of first stages of cancer, planning, treatment once detected to radiology to stop the spreading of cancer cells by a team of specialist doctors.
The Bangkok Spine Academy, Bangkok Hospital announced the success of a new surgical technique developed in Thailand to treat back pain through Direct Lateral Interbody Fusion (DLIF). The surgery treats back and leg pain caused by the spine pressing on the nerves or scoliosis. The distinctive points of this surgery are that it does not destroy the back muscles, less blood loss, small scar, and fast recovery. This technique uses Intraoperative Neuromonitoring sent through a 1-inch tube to monitor the nerves and spine. Then a replacement intervertebral disc is inserted making the spine stronger, enabling it to carry more body weight and lessening back pain. Moreover, the technique can effectively treat Spondylolisthesis or Scoliosis in elderly patients without having to make incisions along the back muscles, which may help lessen chronic back pain, median nerve entrapment, loose screws or loss of back muscle that occur after conventional surgery.
Bhumibol Adulyadej Hospital, Wattanosoth Hospital and Paolo Memorial Hospital Nawamin, being three public and private hospitals, joined together to organize the memorandum of understanding signing ceremony entitled "Out-Patient Referral for Radiology Treatment" for cancer patients using state-if-the-art medical technology to increase potential of radiology treatment for cancer patients of every group.
In February 2011, the Company invested in 46,116,400 common shares of Bumrungrad Hospital Public Company Limited ("BH"), equal to 6.32% of outstanding shares sold of BH, as well as invested in 35,000,000 units of NVDR or 4.79% of shares outstanding of BH. The Company later exercised the 1:1 conversion of NVDR to common shares, as well as invested in additional common shares of BH. Presently, the Company holds 103,827,600 shares or 14.25% of shares outstanding of Bumrungrad Hospital Public Company Limited.
The Company registered additional capital of Baht 1,481,034,024 on 1st April 2011 to pay for the entire business transfer of Health Network Public Company Limited in accordance with the Extraordinary Meeting of the Shareholders 1/2011 on 24th February 2011. This resulted in the Company holding 68.64% from 19.47% of Prasit Pattana Public Company Limited (Phyathai Hospital Group: Phyathai Hospital 1-3 and Phyathai Hospital Sriracha). In addition, the Company now holds shares of 4 companies within the Paolo Memorial Hospital Group, namely, 100% of Paolo Medic Company Limited (Paolo Memorial Hospital Phaholyotin), 88.73% of Paolo Samutrprakarn Company Limited (Paolo Memorial Hospital Samutrprakarn), 80.72% of Siam Medical Company Limited (Paolo Memorial Hospital Chokchai 4) and 99.76% of Thai Medical Center Public Company Limited (Paolo Memorial Hospital Nawamintr). Consequently, after the mergers, the Company now has 27 hospitals in the Group, from 19 (25 hospitals in Thailand and 2 hospitals in Cambodia), with a total of 4,987 beds, up from 3,193 beds.
The Company made a tender offer on Prasit Pattana Public Company Limited ("PYT") with a period of 25 business days from 8th April to 23rd May 2011. Payment was offered in two ways, namely, Baht 3.71 cash per share or common shares of the Company ("BDMS") at 10.1706 PYT shares for 1 BDMS share. The respondents must choose either option.
After the tender offer, the Company held 97.10% of PYT outstanding shares, up from 68.64%. The Company issued 64,366,277 rights shares to respondents who chose to receive BDMS shares, resulting in Baht 1,545,400,481 of paid-up capital from Baht 1,481,034,024.
The Company increased paid-up capital by another Baht 58,200 to accommodate the conversion of the convertible bonds to common shares of the Company, resulting in a paid-up capital of Baht 1,545,458,883. The convertible bonds matured in July 2011, therefore, the Company no longer has any convertible bond obligations.
The Company invested in an additional 1,474,000 common shares of Udon Pattana (1994) Company Limited (Ake Udon Hospital) equal to 4.9%, resulting in 4,474,000 shares or 14.9% of shares outstanding, up from 3,000,000 shares or 10%. When including ownership of Udon Pattana shares through Prasit Pattana Public Company Limited and Ramkamhaeng Hospital Public Company Limited, a subsidiary and associated company respectively, the Company holds 28.17% of shares outstanding of Ake Udon Hospital.
The Company set up a subsidiary, "Bangkok Premier Life Insurance Broker Company Limited" with registered and paid-up capital of Baht 4.0 million (Baht 10 par value).
The Company invested in Krungthon Hospital Public Company Limited "KDH", a company listed on the Stock Exchange of Thailand and operating a 150-bed private hospital, by acquiring shares from existing shareholders of KDH with initial investment equal to 16.82% of registered and paid-up capital of KDH. Later, the Company acquired additional shares through the Stock Exchange of Thailand, resulting in total number of shares held equal to 20.01% of registered and paid-up capital of KDH.
The Company increased capital in Greenline Synergy Company Limited, a subsidiary in which the Company holds 100%, from Baht 30 million to Baht 200 million in order to improve information technology services provided to the Group.
Wattanosoth Hospital, the cancer hospital, opened the Bangkok Hematology Center on 20th August 2010 to provide medical care to patients with blood disease by a team of hematology physicians and diagnosis laboratory which meets high standards, as well as a blood bank to store and reserve blood. The Bangkok Hematology Center provides efficient holistic medical care to patients with blood disease.
The Company went through some restructuring. On 28th October 2010, the Company executed an Entire Business Transfer of Bangkok Hospital Hua Hin Company Limited, a subsidiary in which the Company holds 100% and was established as a 60-bed private hospital in Hua Hin, Prachuabkirikhan Province. The purpose of the Entire Business Transfer was to transfer operations of the Bangkok Hospital Hua Hin from the subsidiary to Bangkok Dusit Medical Services Public Company Limited, as a branch of Bangkok Hospital in Hua Hin, in order to reduce management costs and increase flexibility in management of operations and resources, especially in management of medical personnel, which will increase operational efficiency to meet the Company's policy.
The Bangkok Hospital Hua Hin is an investment project which received support from the Board of Investment. The investment capital is approximately Baht 850 million. On the day of the entire business transfer, Bangkok Hospital Hua Hin was still under construction and not yet in operation. After the transfer of the business and all assets to the parent company, the Bangkok Hospital Hua Hin Company Limited registered the closing of the business on 5th November 2010 and is currently in the liquidation process.
The Company increased capital in Royal Bangkok Healthcare Company Limited, a subsidiary in which the Company holds 100%, from initial registered capital of Baht 1.0 million to Baht 736.0 million. The increased capital was used to acquire all shares of A.N.B. Laboratories Company Limited ("ANB") from existing shareholders on 1st December 2010 with total investment of Baht 734.0 million. ANB is the 4th largest producer of saline in the country. In addition, the company also produces and distributes medicine and medical supplies with exports equaling about 20% of total sales.
The Board of Directors' special agenda meeting 2/2010 on 14th December 2010 approved the merger of the Company and Health Network Public Company Limited (Phyathai Hospital Group and Paolo Hospital Group) through an Entire Business Transfer of Health Network Public Company Limited, which is majority held by Mr. Wichai Tongtang and family. The Company shall pay a total of no more than Baht 9,825,357,789 for the merger, comprised of newly issued common shares of the Company in the amount of no more than 230,870,405 shares at Baht 37.75 per share, equal to no more than Baht 8,715,357,789 and cash of approximately Baht 680,000,000, as well as transfer of load debt and interest incurred from Health Network in the amount of no more than Baht 430,000,000.
The Company invested in an Open MRI 1.0 T, the only such machine in Thailand. Patients do not need to enter the tunnel when getting a scan as before, which greatly reduces patient's anxiety of confined spaces and does not require anesthesia.
The Bangkok Spine Academy has performed minimal invasive spine surgery using a microscope to reduce pain and blood loss and for faster recuperation.
The Bangkok Heart Hospital and the Pacific Rim Electrophysiology Research Institute established the "Pacific Rim Electrophysiology Research Institute at Bangkok Hospital" and the "Cardiac Electrophysiology Clinic" headed by Dr. Koonlawee Nademanee, an American Board cardiologist specializing in cardiac electrophysiology. The Institute provides diagnosis and treatment of a variety of irregular heart rhythms (cardiac arrhythmias) using catheter ablation, electrophysiology and cardiac device implantation.
The Company invested in the Bi-plane DSA used in diagnosis and treatment of strokes and other blood vessels with visual effects using 2 megapixel digital imaging. The technology enables doctors to more efficiently diagnose by creating 3 dimension imaging, which can clearly show blood vessels that are as thin as a strand of hair.
