The Company pays dividend at the minimum of 50% of the net profit of the consolidated financial statements dependent upon the business expansion and need for capital each year. An approval by the shareholders meeting is required with the exception of interim dividend payment, which is approved by the Board of Directors.

Answer of # 4-10 are for shareholders who held securities certificates. For those who have an account with a securities company, you can contact your securities company directly.

You can swap securities certificates having the face value of Baht 1 per share for an equivalent amount of new ones with the face value of Baht 0.1 per share by contacting the TSD. Required documents for the swap include:

  1. A completed TSD-102 Issuance of New Securities Certificate(s) form, signed by the shareholder;
  2. The old securities certificates with the face value of Baht 1 per share;
  3. A copy of the shareholder’s national ID card, with the shareholder’s signature certifying the copy;
  4. The document certified true by the sub-district or district office to use instead of the original Thai national ID card. (If the national ID card cannot be shown or the documents are being summited by registered mail.)

You can check the total number of registered shares with the TSD.

In transferring stock ownership, the transferee must contact the TSD to fill out the TSD-101 Registration of Securities Ownership Transfer form, attached with the securities certificates endorsed by both the transferor and transferee. Also attached to the form must be copies of the national ID cards of both the transferor and transferee, together with certifying signatures of the cardholders. The document certified true by the sub-district or district office can use instead of the original Thai national ID card.

You must contact the TSD to complete the TSD-102 Issuance of New Securities Certificate(s) form to reissue new securities certificates for the lost ones. Required documents include:

  1. A copy of the complaint form filed at a police station identifying the name of the shareholder, the serial number(s) of shares and the total number of shares held.  For further details, please contact the TSD;
  2. A copy of the national ID card of the shareholder, with certifying signature;
  3. The document certified true by the sub-district or district office to use instead of the original Thai national ID card. (If the national ID card cannot be shown or the documents are being summited by registered mail.)

The shareholder’s heirs must submit their request to the court to appoint an estate administrator. In order to claim your right, the following documents must be submitted to the TSD:

  1. A completed TSD-103 Administration of Estate form, signed by the estate administrator;
  2. A copy of the court ruling appointing the estate administrator, with certifying signature of the estate administrator on every page of the copy;
  3. A copy of the death certificate, with certifying signature of the estate administrator;
  4. A copy of the national ID card and house registration certificate of the estate administrator, with certifying signature of the estate administrator;
  5. A copy of the national ID card and house registration certificate of the rightful heir to the securities, with certifying signature of the heir;
  6. The document certified true by the sub-district or district office to use instead of the original Thai national ID card;
  7. The original securities certificates with the estate administrator’s signature in the transferor’s signature box, and the rightful heir’s signature in the transferee’s signature box.

You can contact the TSD to make changes to your personal information, such as changes in title, name, surname, and/or current mailing address, by filling out the TSD-301 Amending Securities Holder Records form. You will need a copy of your national ID card with your certifying signature. (In cases where the changes are in one’s title, name and/or surname, please attach the original securities certificate(s), together with certified copies of evidence issued by related government agencies, identifying the changes in title, name and/or surname, e.g., a marriage certificate, and the original of the document issued by the sub-district or district office to use instead of the original Thai national I.D. card).

You must contact the TSD to complete the TSD-202 Dividend/Interest Payment to Bank Account form, signed by the shareholder, attached with a copy of the national ID card of the securities holder, with certifying signature and a copy of the front page of bank passbook/statement with the shareholder’s name and bank account number shown.
